Terms of Service
Version 1.0
SnapLedger — Terms of Service
Version: 1.0 Effective date: 2026-05-20 Publisher: DAOILE CONSULTING - FZCO, a Free Zone Company registered with the Dubai Integrated Economic Zones Authority (DIEZ), Emirate of Dubai, United Arab Emirates ("Daoile", "we", "us", "our"). Contact: support@snap-ledger.com Service: SnapLedger, available on the web at snap-ledger.com and via our iOS and Android applications (collectively, the "Service").
By ticking "I have read and agree to the Terms of Service" on the onboarding consent screen and continuing, you enter a binding agreement with Daoile on these terms. If you do not agree, do not use the Service.
These Terms are published in English. Translations into Arabic, French, and Chinese are provided for convenience; in the event of any conflict between a translation and this English master version, the English master prevails.
1. Who can use SnapLedger
1.1 Age. You must be at least eighteen (18) years old and legally able to enter into a contract in your country of residence.
1.2 Country of residence. During sign-up you confirm the country of your tax residence (individual users) or the country where your business is registered (business users). You must confirm truthfully; we use this country to decide which data-centre region holds your data (see §6) and which features, tax templates, and pricing apply.
1.3 Restricted countries. SnapLedger is not available to users whose country of residence or business registration is:
- China (CN), Russia (RU), Kazakhstan (KZ), Belarus (BY) — domestic data-protection law requires in-country servers that our cloud provider does not offer; or
- Iran (IR), North Korea (KP), Syria (SY), Cuba (CU) — international sanctions prevent our cloud provider from serving these countries.
If you select one of these countries during sign-up we will show you an explanatory message and will not create your account. Attempting to circumvent this check — for example by selecting a different country than your true one — is a material breach of these terms and grounds for immediate termination (see §12).
1.4 Business users. If you sign up on behalf of a business, you represent that you are authorised to bind that business to these terms, that the business is lawfully registered in the country you select, and that all information you provide about the business (trade licence, tax-registration numbers, VAT numbers, and similar) is accurate.
2. The Service
2.1 Purpose. SnapLedger is a bookkeeping and reporting tool. Typical features include:
- capture of receipts, invoices, and bank statements (image or PDF) and automatic extraction of structured data;
- a double-entry general ledger, chart of accounts, and journal-entry engine;
- country-specific tax support, with new jurisdictions added over time as we obtain the necessary in-country accounting capability;
- expense-reimbursement workflows for business users;
- generation of reports (P&L, balance sheet, trial balance, VAT return worksheets) for your own use and for sharing with your professional advisers;
- an AI reconciliation assistant.
2.2 What the Service is not. SnapLedger is a software tool, not a tax adviser, not an accountant, and not a licensed financial-services provider. Any figures, reports, or classifications that SnapLedger produces are informational. Before you file a tax return, submit financial statements to a regulator, or make a financial decision, you must have the output reviewed by a suitably qualified professional whom you choose and pay separately. We do not provide, and the Service does not constitute, tax advice, legal advice, accounting advice, or investment advice.
2.3 Free trial and subscriptions. New accounts include a one-month free trial of the full feature set. After the trial, continued access to reporting and other premium features requires a subscription. Subscription plans (monthly, yearly, two-year, three-year), prices, billing cycles, and country-specific pricing are shown in-app before you subscribe and are incorporated into these terms by reference. You can cancel at any time; cancellation takes effect at the end of your current billing period (whether that period is a month, a year, two years, or three years).
2.4 Changes to the Service. We improve and change the Service continuously. We may add, modify, or remove features on reasonable notice, except where a change would materially reduce a paid feature you rely on, in which case we will notify subscribed users in advance and, where required, offer a pro-rata refund.
3. Your account
3.1 Registration. You register with an email address (plus password) or a supported social login (Apple, Google). You are responsible for keeping your credentials confidential. You must notify us immediately at support@snap-ledger.com if you suspect your account has been accessed without your authorisation.
3.2 One person / one business, one account. Creating multiple accounts to circumvent trial periods, pricing tiers, or country restrictions is prohibited.
3.3 Accuracy. You are responsible for the accuracy of the data you enter or upload — receipts, statements, opening balances, tax-registration numbers, payroll records, and anything else. The Service will process what you provide; it cannot detect forgery, fraud, or clerical error in source documents.
4. Acceptable use
You agree not to:
- use the Service for any activity that is illegal under the law of your country of residence, the law of the UAE, or the law of any jurisdiction where your data may be processed under §6;
- upload content that infringes a third party's intellectual-property, privacy, or publicity rights;
- attempt to reverse-engineer, decompile, scrape, or otherwise extract source code, model weights, or proprietary algorithms from the Service;
- attempt to bypass the country gate in §1.3, rate limits, authentication, or the periodic-lock ("Account Book Lock") mechanism;
- use the Service to generate records intended to mislead a tax authority, auditor, lender, regulator, or court;
- upload malware, run automated load tests without our written consent, or otherwise interfere with the integrity of the Service.
Breach of this clause lets us suspend or terminate your account and, where appropriate, report the matter to law-enforcement authorities.
5. Your data and our use of it
5.1 Ownership. You own the content you upload (receipts, statements, documents) and the ledger entries, reports, and configuration the Service stores on your behalf ("Your Data"). We claim no ownership over Your Data.
5.2 Licence to operate the Service. You grant Daoile a worldwide, non-exclusive, royalty-free licence to host, process, transmit, display, and create derivative works of Your Data solely as necessary to operate, maintain, secure, improve, and support the Service for you, including to generate AI-assisted output under §7. This licence terminates when your data is erased (see §5.4).
5.3 Export. You can export your ledger, journal entries, and uploaded documents at any time through the in-app export features. On account closure you have thirty (30) days to export; after that we may delete Your Data as described in §5.4.
5.4 Retention and deletion. On account closure we retain Your Data for thirty (30) days to allow export and recovery, then delete it from active systems. Encrypted backup copies may persist for up to one hundred and eighty (180) days before being overwritten in the ordinary rotation of the backup media. Accounting records that you have locked via the Account Book Lock feature are preserved for the full retention period so that your audit trail remains intact until you personally delete the account.
5.5 Privacy policy. Our processing of personal data is described in more detail in the Privacy Policy published at snap-ledger.com/privacy, which is incorporated into these terms by reference. Where the Privacy Policy is more protective of you than these terms, the Privacy Policy governs.
6. Data residency and cross-border transfer — please read
6.1 Where your data lives. We use Google Cloud Platform ("GCP") to host the Service. When you sign up, the country you confirm drives which GCP region receives your data. Our routing is summarised below; the authoritative table is in the Privacy Policy.
- In-country hosting. If GCP has a data centre in your country, your data is stored there. Examples: Saudi Arabia → Dammam; Germany → Frankfurt; Japan → Tokyo; India → Mumbai; Australia → Sydney; Brazil → São Paulo; South Africa → Johannesburg; United Kingdom → London; Switzerland → Zurich; United States → Iowa; Singapore → Singapore; Hong Kong → Hong Kong; Indonesia → Jakarta; South Korea → Seoul; Taiwan → Changhua; Canada → Montréal; Italy → Milan; Spain → Madrid; Netherlands → Eemshaven; Poland → Warsaw; Finland → Hamina; Belgium → Saint-Ghislain; France → Paris; Israel → Tel Aviv.
- Cross-border hosting (adjacent jurisdiction). If GCP has no data centre in your country but an adjacent jurisdiction qualifies for an adequacy decision or a Standard Contractual Clauses ("SCC") transfer, your data is stored in that adjacent jurisdiction. Examples: United Arab Emirates → Doha, Qatar (GCP region
me-central1); Bahrain, Kuwait, Oman, Egypt → Doha, Qatar; Ireland → London, United Kingdom; Türkiye → Netherlands; New Zealand → Sydney, Australia; Liechtenstein → Zurich, Switzerland. - Generic hosting. Countries not covered above are served from our United States region (Iowa,
us-central1).
6.2 Your consent to cross-border processing. By accepting these terms you consent to the transfer and processing of Your Data in the jurisdiction shown for your selected country, under the Google Cloud Standard Contractual Clauses and the adequacy or national-law basis identified in the Privacy Policy. If your country is in the cross-border list, we specifically draw your attention to the transfer: your data will cross national borders to reach our GCP region. Where applicable law requires your separate consent (for example, Türkiye KVKK Art. 9), you give that consent by continuing past the country-selection screen.
6.3 Cross-border notice for users in adjacent-jurisdiction countries. Some countries are served from an adjacent jurisdiction because Google Cloud does not currently operate a data centre inside the user's country of residence. The full list is in §6.1 under "Cross-border hosting" and includes (without limitation) the United Arab Emirates, the GCC neighbours Bahrain, Kuwait and Oman, Egypt, Ireland, Türkiye, New Zealand, and Liechtenstein. For each of these countries we identify the adequacy basis or Standard Contractual Clauses we rely on (see §6.1 and Privacy Policy §5). If you are a resident of one of these countries and you object to the cross-border transfer shown for your country, do not create an account. We will revisit country-to-region routing whenever Google Cloud, or an equivalent-compliance provider, opens a new in-country data centre that serves a country presently on this list.
6.4 Withdrawing consent. You can withdraw consent at any time by closing your account (see §5.4). Withdrawal does not affect the lawfulness of processing already carried out.
6.5 Subprocessors. Our main subprocessors are:
- Google LLC / Google Cloud Ireland Limited — hosting, Firestore, Cloud Functions, Vertex AI and Gemini model inference.
- Stripe, Inc. — payment processing.
- Firebase (Google) — authentication and push notifications.
- Vercel Inc. — content-delivery network and edge compute for the web app, including the IP-based country-detection hint used only at sign-up and not stored.
- Resend, Inc. — transactional email delivery (account verification, password reset, billing receipts).
The full, current subprocessor list is maintained in the Privacy Policy.
7. AI-generated output
7.1 Automated processing. Parts of the Service — including receipt parsing, bank-statement parsing, the reconciliation assistant, and text generated by our agent — use third-party large-language-model and vision-model services (currently Google Gemini via the Vertex AI platform). When you upload a document, its contents may be sent to the model provider under our Data Processing Agreement with that provider, which prohibits them from training general-purpose models on Your Data.
7.2 Quality of output. AI output is probabilistic. It may contain errors, hallucinated line items, mis-classified receipts, or incorrect currency amounts. You remain fully responsible for reviewing every AI-generated figure before using it for any filing, accounting close, or business decision. You indemnify Daoile against losses arising out of a failure to review AI output before acting on it (see §10).
7.3 Consent to automated decision-making. Where automated decision-making produces a meaningful effect on you — for example, auto-classifying a transaction as business-deductible — you can override the decision from the UI. If you take no action, the system treats your inaction as acceptance. You have the right to request a human review of any automated decision by emailing support@snap-ledger.com; we will respond within thirty (30) days.
8. Intellectual property
8.1 Our rights. The Service — software, user interface, prompt templates, AI-skill packs, brand, logos, documentation, and the "SnapLedger" and "Ledger Butler" names — is owned by Daoile or its licensors and is protected by copyright, trademark, and other laws. These terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service during your subscription; no other rights are granted.
8.2 Your feedback. If you send us suggestions or bug reports, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without obligation to you.
8.3 Trademarks. "SnapLedger" and "Ledger Butler" are trademarks of DAOILE CONSULTING - FZCO. You may not use them without our prior written permission.
9. Fees, taxes, refunds
9.1 Billing. Subscription fees are charged in advance for each billing period. Prices displayed in-app are exclusive of value-added tax or equivalent consumption tax unless explicitly stated; where we are required to charge value-added tax in the customer's jurisdiction, the tax is added at checkout and remitted to the relevant authority.
9.2 No refunds. Subscription fees are non-refundable, except where a refund is required by the mandatory consumer-protection law of your country of residence. This rule applies equally to all subscription intervals — monthly, yearly, two-year, and three-year — and applies whether you paid one month or thirty-six months in advance. If you cancel mid-term, you retain access until the end of the paid period; you are not entitled to a pro-rata refund of the unused portion. The same rule applies to any auto-renewal of your subscription. If you believe a mandatory-law refund applies, email support@snap-ledger.com with the legal basis and we will respond within thirty (30) days. A separate, narrow refund policy applies if Daoile discontinues the service in your country or terminates your account without your fault — see §12.
9.3 Late payment. If a recurring charge fails, we retry for fourteen (14) days and then downgrade the account to the free tier. Your data remains under the retention rules in §5.4.
10. Warranties, disclaimers, liability
10.1 As-is. The Service is provided "as is" and "as available". To the maximum extent permitted by applicable law, Daoile disclaims all warranties, express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.
10.2 No professional advice. Nothing in the Service is professional tax, accounting, legal, or investment advice. You are solely responsible for your tax and accounting positions.
10.3 Limitation of liability. To the maximum extent permitted by applicable law, Daoile's total aggregate liability to you arising out of or in connection with these terms or the Service, whether in contract, tort (including negligence), or otherwise, is capped at one hundred United States dollars (USD 100). Daoile is not liable for indirect, incidental, consequential, special, or punitive damages, or for loss of profits, revenue, goodwill, or data, even if advised of the possibility.
10.4 Indemnity. You will indemnify and hold Daoile harmless from any claim, demand, damage, or expense (including reasonable legal fees) arising out of your breach of these terms, your violation of applicable law, or your misuse of AI output in breach of §7.2.
10.5 Mandatory-law carve-out. Nothing in §10 limits liability that cannot lawfully be excluded — for example, liability for fraud, death or personal injury caused by negligence, or consumer rights that cannot be waived under the law of your country of residence.
11. Governing law and disputes
11.1 Governing law. These terms are governed by the laws of the United Arab Emirates as applied in the Emirate of Dubai, without regard to conflict-of-laws rules.
11.2 Jurisdiction. Subject to §11.3, you and Daoile submit to the non-exclusive jurisdiction of the courts of Dubai, United Arab Emirates, for any dispute arising out of or in connection with these terms or the Service.
11.3 Consumer rights. If you are a consumer in a jurisdiction whose mandatory law gives you the right to bring proceedings in your country of residence, nothing in §11.2 takes that right away.
12. Suspension and termination
12.1 By you. You can close your account at any time from the in-app Settings screen or by emailing support@snap-ledger.com.
12.2 By us. We may suspend or terminate your account without notice if (a) you breach §1.3 (restricted countries), §4 (acceptable use), or §7 (AI output), or (b) we are required to do so by law, by a court order, or by a subprocessor's compliance team. In less serious cases we will first email the address registered on your account with a request to remedy, allowing thirty (30) days.
12.3 Refund on no-fault discontinuance. If we permanently discontinue the SnapLedger service in your country, or terminate your account without your fault for reasons other than your breach of these terms, we will refund the unused portion of any subscription fee you have paid in advance, calculated on a pro-rata daily basis from the date the discontinuance or termination takes effect. This is the only situation in which a pro-rata refund of an in-progress subscription term is given; the rule in §9.2 (no user-initiated mid-term refunds) is otherwise absolute.
12.4 Effect of termination. §5 (Your Data), §8 (IP), §10 (liability), §11 (law + jurisdiction), §13 (notices), and any clause that by its nature should survive, survive termination.
13. Notices and changes
13.1 Notices to you. Legal notices from us are sent to the email address on your account. You are responsible for keeping that email current.
13.2 Notices to us. Legal notices to Daoile must be sent to support@snap-ledger.com with the subject line "LEGAL NOTICE".
13.3 Changes. We may update these terms from time to time. For material changes we will notify active users by email at least thirty (30) days before the change takes effect and, on the effective date, require a fresh in-app acceptance. If you do not accept the new terms you may close your account under §12.1 without penalty before the change takes effect. Non-material changes (clarifications, typographical fixes, new subprocessor additions that do not widen cross-border transfer) take effect on posting.
14. Miscellaneous
14.1 Entire agreement. These terms, together with the Privacy Policy and any subscription-plan terms shown in-app at purchase, are the entire agreement between you and Daoile about the Service.
14.2 Severability. If any clause is held unenforceable, the rest remains in force.
14.3 No waiver. Our failure to enforce a right is not a waiver of that right.
14.4 Assignment. You cannot assign these terms without our written consent. We can assign these terms to an affiliate or to a successor in a merger or acquisition, on notice to you.
14.5 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including cloud-provider outage, governmental action, or armed conflict.
14.6 Contact. Questions, legal notices, rights requests, and refund requests: support@snap-ledger.com.
